Why this over-optimism, and why now? Two dynamics hold the answers.
The first is the tendency among boards and management teams to read the wrong compass when considering a major corporate or capital transaction. They either rely on their own judgment, which is often not expert in these matters and never free from bias, or that of their investment banker, who is genetically (if not financially) programmed to do deals, and quickly; walking away is anathema (or worse). Management operates, therefore, with a profound absence of objective, independent and accurate information.
The second force is the ebb and flow in the capital market cycle, which can infect almost anyone with fever when things get rolling as they are now, or deep depression when they are in a free fall or moribund. The old rules of fear and greed, with little in between, remain in force.
